These Terms of Service govern your use of the DirectorOS website, application, and related services.

1. About DirectorOS

DirectorOS is a compliance and risk visibility platform for UK company directors and accountancy firms. Features may include deadline tracking, reminder workflows, email decoding, company monitoring, officer visibility, and audit records.

2. Acceptance of these terms

By accessing or using DirectorOS, you agree to these Terms. If you are using DirectorOS on behalf of a company or firm, you confirm that you have authority to bind that organisation to these Terms.

3. Eligibility and account responsibility

You must provide accurate information, keep account credentials secure, and use the service lawfully. You are responsible for activity that occurs through your account and workspace.

4. Plans, trials, and billing

Certain features are available only on paid plans. DirectorOS may offer free plans, trials, beta access, or promotional access from time to time.

  • Director trials are intended to convert to paid subscriptions unless cancelled before renewal.
  • Billing and subscription administration are handled through Stripe.
  • Prices, inclusions, and plan limits may change in the future.
  • Plan entitlements such as company limits or decoder allowances may be enforced technically within the product.

5. Beta terms

Private beta access is provided for evaluation and feedback. Beta features may be incomplete, change without notice, contain errors, or be withdrawn. During beta, you agree that the service is provided on an experimental basis and should not be treated as your sole operational or legal safeguard.

6. No legal, accounting, or regulatory advice

DirectorOS provides software tools and operational information. It does not provide legal advice, accounting advice, regulatory advice, or formal compliance sign-off. You remain responsible for verifying filings, deadlines, notices, and regulatory obligations relevant to your companies or clients.

7. Companies House and third-party data

DirectorOS may use public company data, including Companies House information, and may combine that with data you submit. We do not guarantee that third-party or public source data is always complete, current, or error-free.

8. AI-generated outputs

Decoder and analysis features may generate AI-assisted summaries, categorisations, checklists, or risk signals. These outputs are intended to assist human review and should not be treated as guaranteed factual determinations. You remain responsible for checking source material and deciding what action to take.

9. Acceptable use

You agree not to:

  • use the service unlawfully or in a way that infringes the rights of others;
  • attempt to disrupt, overload, probe, or bypass security or usage controls;
  • submit content you do not have the right to use;
  • reverse engineer or misuse the service beyond what applicable law permits; or
  • use the service to build a competing product through abusive extraction or copying.

10. Data and content you submit

You retain responsibility for content and company data you submit to DirectorOS. You confirm that you have the necessary rights and permissions to upload, store, or process that material through the service.

11. Service availability

We aim to operate DirectorOS reliably, but we do not guarantee uninterrupted or error-free availability. Features may be modified, suspended, or removed, especially during beta or maintenance periods.

12. Suspension and termination

We may suspend or terminate access where necessary to protect the service, comply with law, investigate misuse, or enforce these Terms. You may stop using the service at any time, and paid subscriptions can generally be managed through the billing interface where available.

13. Intellectual property

DirectorOS and its underlying software, design, branding, and service materials are protected by intellectual property rights. These Terms do not transfer ownership of DirectorOS to you.

14. Warranties disclaimer

To the maximum extent permitted by law, DirectorOS is provided on an “as is” and “as available” basis. We do not warrant that the service will be uninterrupted, error-free, or suitable for every use case.

15. Limitation of liability

To the maximum extent permitted by law, DirectorOS will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages, or for loss arising from reliance on reminders, AI outputs, public data, or operational decisions taken using the service. Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Changes to the service or these terms

We may update the service and these Terms from time to time. The latest version will be published on this page with an updated effective date.

17. Governing law

These Terms are governed by the laws of England and Wales, unless applicable law requires otherwise.
